1. Mandatory Twelve-Month Commitment. Charter Membership is a fixed 12-month non-cancelable term. Because territorial exclusivity and discounted early-adopter pricing are granted immediately, payments cannot be stopped before the term ends.
1.2 Acceleration of Fees. If you cancel your payment method, default, or initiate a chargeback, the remaining balance of the 12-month contract ($399.00 x remaining months) becomes immediately due as liquidated damages.
2. Payment and Billing. Subscription fee is $399.00/month. Charges are automatic on the 1st day of each month. Mid-month signups are prorated through month-end, and the first full charge starts on the next 1st.
2.4 24-Hour Grace Period. If payment fails, you have exactly 24 hours to update billing. After 24 hours, your Waterfall Lead System access may be suspended and removed from active/future job assignments.
3. Licensing, Insurance, and Compliance. You must maintain active licenses, bonds, and insurance required by state/local law. Project Price may suspend access if compliance lapses.
4. Automatic Renewal. Agreement renews for successive 12-month terms. To prevent renewal, written notice must be sent at least 30 days before the anniversary date to support@projectprice.app.
5. Arbitration and Governing Law. Disputes are resolved by binding arbitration in Cleveland, Ohio (Cuyahoga County). Jury trial is waived. Ohio law governs.
Digital Consent Record. Your acceptance is recorded with timestamp and IP address as legally binding digital consent.
